| Changes to Organizing or Governing Documents | Section 3. Election and Term. At the annual meeting of the Board of Directors, the Board of Directors shall elect new Directors. Unless a nominating committee is established pursuant to Article VI, the Board of Directors shall, with the notice of its annual meeting, submit a slate of nominees for the purpose of electing the new Directors. Each term is a maximum of two years, with the term ending at the second general meeting date after the start of their term. Any Director may nominate for election to the Board of Directors a person who is not listed on such slate of nominees by written notice to the President or the Secretary received at least five (5) days before the annual meeting of the Board. Each Director shall have one vote for each member to be elected and may cast all or less than all of such votes for the individuals listed on the slate of nominees (including any so added by a Director), but may cast no more than one vote for any one individual.Section 8. Special Meetings and Voting. Unless otherwise provided by these Bylaws, all meetings of the Board of Directors other than annual meetings shall be special meetings. Special meetings of the Board of Directors may be called by the President, Vice President, or by any two Directors, and shall be held at such place and time as the person or persons calling such meetings shall specify. Voting is considered a special meeting. In the case of remote voting without a meeting component, Virtual email based discussion and give 48 hours for directors will be given at least 36 hours to look information over information and make comments/ask questions before a motion is made voting. Directors may deny or approve full or partial funding. ? majority is needed for both in person and virtual votes and surveys regarding financial decisions and official business.Section 12. Compensation. A Director shall not receive remuneration or compensation for his or her services as a member of the Board of Directors, but by resolution of the Board of Directors expenses of attendance, if any, may be allowed for attendance at each annual or special meeting of the Board or to reimburse travel expenses related to official business.Section 16. Board members are expected to attend at least nine monthly meetings in each calendar year.Section 18. Conflict of Interest. The Board shall be responsible for obtaining conflict of interest statements from each of the members of the Board at the start of each term, and review and manage any disclosed conflicts accordingly.ARTICLE V: EMPLOYEESSection 1. A Running Passion may choose to employ an Executive Director and other employees in order to effectively carry out the purpose described in Article II.Section 2: Executive Director A Running Passion may have employed an Executive Director. The responsibilities and pay of this role are outlined in the Executive Director outline. The Executive director may carry out the business of A Running Passion within their discretion up to the limits defined by this section. Board approval is necessary for footwear and apparel requests exceeding $250 for an individual, $1,000 per school. All purchases that exceed their budget allocations for their operating area require board notification.The Executive Director shall have the general and executive management and control of the business of A Running Passion, and shall see that all orders and resolutions of the Board of Directors are carried into effect.Section 5.President. The President shall exercise general supervision of all operations of A Running Passion, subject to the control of the Board of Directors. They shall, when present, preside at all meetings of the Directors. He or she shall perform such duties as are provided by the laws of the State of Maine or by these By-laws or as may be prescribed from time to time by the Board of Directors. The President does have authority to make purchases for the organizations purpose in Section I in an amount that will not exceed $250 per transaction.Section 10. Compensation and Expenses. Officers may receive salaries or other compensation subject to board approval. ARTICLE XII: CONSTRUCTION AND DEFINITIONSIn construing these Bylaws, the masculineany gender includes the feminine and neuterany other gender, the singular number includes the plural, the plural number includes the singular, and the term "person" includes both A Running Passion or other organization and a natural person. The rules contained in the then current edition of Roberts' Rules of Order govern A Running Passion in all cases in which they are applicable, and in which they are not inconsistent with these Bylaws, the Articles of Organization, or any existing law. |
