Return Reference Explanation
Pt V, Line 4 The organizations board designated or quasi-restricted endowment consists of its interest in conservation land received from Willis D. Hadley. The organizations governing instrument directs that such land shall be retained permanently, unless the organizations board shall determine by unanimous vote that extraordinary circumstances make a sale or transfer of the land necessary or otherwise in the best interest of the organization. While this results in the land being classified as net assets without donor resrictions, the board has every intention of retaining the land permanently in accordance with the grantors wishes.

Pt IV Line 1 On December 31, 2023, the organization sold its 15% interest in The St Louis Estates LLC to WDH Foundation-C3, a private operating foundation also created by Willis D. Hadley. The Trustees of the two organizations are identical.
Pt IV Line 2 On December 31, 2023, the organization sold an undivided 25% interest in certain real property located on Eugene Street, Ferndale, California to WDH Foundation-C3.
Pt IV Line 3 In connection with the sale of the 15% interest in The St Louis Estates LLC described above, WDH Foundation-C3 overpaid by $3,628.48. This amount was refunded to WDH Foundation-C3 by the organization in 2024.
Pt IV Line 4 In connection with the sale of the 25% interest in real property described above, an updated appraisal of such property resulted in a purchase price increase of $30,460 (included in Line 2 figure). This amount was paid to the organization in 2024.
