Explanation

Pt X, Line 2

The EDC is exempt from federal and state income taxes for general purpose operations under Section 501(c)(6) of the Internal Revenue Code and is not considered to be a private foundation; therefore no provision for income taxes has been made in these combined financial statements. The Organization regognizes the tax benefits from uncertain tax positions only if it is more-likely-than-not that the tax position will be sustained on examination by the taxing authorities, based on the technical merits of the position. The Organization's income tax filings are subject to audit by various taxing authorities. Management continually evaluates tax positions reflected in the Organization's tax filings and does not believe any material uncertain tax positions exist.

Pt VI, Line 11b	A copy of the 990 is submitted to the Finance Committee and then the full EDC Board of Directors during regularly scheduled and noticed public meetings. This is prior to signature and filing the form.
Pt VI, Line 12c	The Board of Directors and staff sign a conflict of interest when they join and then they voluntarily comply.
Pt VI, Line 19	The organization makes its governing documents, conflict of interest policy, and financial statements available to the public. Documents are made available to review at noticed public meetings of the Finance Committee, Governance Committee and Board of Director meetings. Documents are also available by request to the EDC office as per Florida State Statue.
Pt VI, Line 15a	The Executive Committee comprised of independent persons reviews compensation of the President and CEO on a yearly basis. A determination is made utilizing comparable data from the International Economic Development Council and other sources. The Executive Committee meetings generally consist of six noticed public meetings and involves a yearly evaluation of the President and CEO on organizational performance measures. The Board of Directors approved the President and CEO annual contract and compensation. The Executive Committee monitors market data for President and CEO compensation.
