| Form 990, Part VI, Line 1a Delegate broad authority to a committee | Code of Regulations, Section 2. Executive Committee. The Executive Committee shall consist of the Chairman, Vice Chairman, Secretary/Treasurer and two additional members of the Board of Trustees. The Corporate Member shall have the right to appoint up to two (2) representatives from the Directors appointed by it (or their designees) to be member(s) of the Executive Committee; provided that any such Director (or their designee) is either a senior Premier Health Partners clinical or management employee. | Form 990, Part VI, Line 4 Significant changes to organizational documents | The Board of DIrectors of Wayne Hospital Company (the "Board") moved to reduce the total number of Directors in order to streamline the efficient and orderly operation of the Board. The code of regulations was amended in February of 2023. The board still desires to maintain the two-thirds/one-third split between Individual Members and the Corporate Members as set forth in the various Sections of the Code of Regulations. The number of Directors elected by Individual Members shall be set at 11 and the number of Directors appointed by the Corporate Member shall be 5. Each Individual Director shall have 1 vote. The Directors appointed by the Corporate Member shall have a total of 5.3 votes, which may be exercised proportionately by the Corporate Directors in attendance or by any one Corporate Director, as set forth in Section 1.11 of the Code of Regulations. |
