THIS COMMITTEE'S ROLE IS TO PROVIDE THE BOARD OF DIRECTORS WITH THE OPPORTUNITY TO CONNECT WITH COMMUNITY LEADERS WHO SHARE INFORMATION REGARDING NEEDS AND OPPORTUNITIES IN THE COMMUNITY. THERE WERE ELEVEN MANAGEMENT COMMITTEE MEETINGS IN 2023 INCLUDING GRANTEE EVENTS. 2. INVESTMENT COMMITTEE: RESPONSIBLE FOR RECOMMENDING TO THE DIRECTORS INVESTMENT POLICIES AND STRATEGIES AND THE SELECTION OF INVESTMENT MANAGERS AND/OR ADVISORS, AND OTHER FIDUCIARIES WITH RESPECT TO FINANCIAL ASSETS. THIS COMMITTEE ALSO MONITORS THE PERFORMANCE OF THE CUSTODIANS, MANAGERS, ADVISORS AND OTHER FIDUCIARIES WITH RESPECT TO THESE ASSETS. THIS COMMITTEE IS MADE UP OF AT LEAST TWO DIRECTORS, CERTAIN SENIOR STAFF OF THE FOUNDATION AND AT LEAST TWO COMMITTEE MEMBERS WHO ARE "OUTSIDE" NON-BOARD MEMBERS. THERE WERE FOUR REGULAR INVESTMENT COMMITTEE MEETINGS AND 3 SPECIAL MEETINGS IN 2023.3. AUDIT COMMITTEE: ASSISTS THE DIRECTORS IN FULFILLING ITS OVERALL RESPONSIBILITIES WITH RESPECT TO (A) THE AUDIT OF THE FOUNDATION'S BOOKS AND RECORDS, AND (B) THE SYSTEM OF INTERNAL CONTROLS THAT THE FOUNDATION HAS ESTABLISHED. THE AUDIT COMMITTEE ALSO REVIEWS THE FORM 990-PF PREPARED BY THE OUTSIDE ACCOUNTANTS.
