| Supplementary to Statement 7 | Part XIV - Grants and Contributions | Shortly before December 7, 2023, the president and director of the Walsh Street Foundation (the "Taxpayer"), sent to the bank that maintains the Foundation's custody account, by United States mail, a letter directing the distribution of $25,000 to Bank Street College and $30,000 to the International Myeloma Foundation. A copy of the said letter was also sent to the taxpayer's attorneys which they received on December 7, 2023. This is the procedure the Foundation's president has used for many prior years, and the bank has always received the letter and made timely distributions as instructed. The Taxpayer excercised ordinary business care and prudence in following an established procedure that had always resulted in timely distributions. However, in this case, the letter sent to the bank was not received. When, in early January 2024, the Foundation's president received the December 2023 statement for the Foundation's account, he saw that the distributions had not been made and immediately contacted the bank. The bank personnel searched for the instruction letter but could not find it. The Foundation's president promptly instructed the bank to make the distributions directed by the December 2023 letter and the distributions were made on January 11, 2024. Taxpayer respectfully submits that the failure to make the intended distributions during 2023 was due to reasonable cause beyond the Foundation's control and not due to willful neglect, and that the distributions were promptly made during the correction period. Accordingly, Taxpayer requests that any first tier tax with respect to the Foundation's undistributed income for 2023 not be assessed or, if assessed, be abated, pursuant to Section 4962 of the Internal Revenue Code. |
