Briefly describe the organization’s mission: The Ohio University Foundation was established in 1945 to support the mission of Ohio University, the first institution of higher education in the Northwest Territory. Ohio University holds as its central purpose the intellectual and personal development of its students and is well known for its outstanding faculty of accomplished teachers whose research and creative activity advance knowledge across many disciplines. During fiscal year 2023, The Ohio University Foundation received thousands of gifts totaling approximately $72 million.

The Ohio University Foundation provides funding for many university needs including academic and instructional support, student aid, research, facilities, athletics and other academic initiatives. During fiscal year 2023, The Ohio University Foundation provided $14.8 million in support for instruction and research, $10.3 million in student aid, and $8.0 million in support of other academic initiatives. Ohio's premier scholarship programs include The Appalachian Scholar Program, The Urban Scholars Program, The Cutler Scholars Program, and many more need-based and merit-based scholarships. Significant gifts were received during fiscal year 2023 for the colleges of arts and sciences, education, engineering, and fine arts, as well as for student financial aid, nursing program facilities and many other areas.

Schedule D, Part IV, Line 2b Explanation of escrow agreement The Foundation holds working capital for The Ohio University Inn, Inc., cash balances on behalf of alumni networks and societies, certificates of deposit on behalf of the Chillicothe Foundation and Russ Research Center tenant deposits.
Schedule D, Part V, Line 4 Intended uses of endowment funds The Foundation's endowment includes both donor-restricted endowment funds and funds designated by the board of trustees as quasi-endowments. The Foundation has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs supported by its endowment while seeking to maintain the long-term purchasing power of the endowment assets.
Schedule D, Part X, Line 2 FIN 48 (ASC 740) footnote The Internal Revenue Service has determined that the Foundation is an exempt organization under Section 501(c)(3) of the Internal Revenue Code, except for taxes on unrelated income. The provision for income taxes for the Inn, a for-profit corporation, including deferred tax expense, totaled $18,825 and $27,412 for the years ended June 30, 2023 and 2022, respectively. The provision is primarily comprised of federal and city taxes. Of these amounts, $(17,268) and $20,446 represent current income tax (recovery) expense for the years ended June 30, 2023 and 2022, respectively. The deferred taxes are a result of differences between book and tax depreciation and are presented as long-term other liabilities on the statements of financial position. There are no income taxes on the Russ LLCs or the Real Estate LLC as they are disregarded entities. Accounting principles generally accepted in the United States of America require management to evaluate tax positions taken by the Foundation and to recognize a tax liability if the Foundation has taken an uncertain position that more likely than not would not be sustained upon examination by the IRS or other applicable taxing authorities. Management has analyzed the tax positions taken by the Foundation and has concluded that as of June 30, 2023 and 2022, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the consolidated financial statements. The Foundation is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. Management believes that it is no longer subject to income tax examinations for years prior to June 30, 2020.

Schedule G, Part I, Line 2b(vi) Amount paid to (or retained by) the organization As indicated in schedule G, the telephone fundraising program generated $48,403 in revenues during the year, versus costs of $313,927. The landscape for phonathon and the value/ROI for telephone fundraising continues to change. The Foundations current vendor, RNL, is adapting to these changes as well. They are offering digital engagement services along with telephone services. In order to maximize the Foundation's impact with this program, callers participated in an on-campus, in-person environment during fiscal year 2023 in an effort to attain more donors and higher dollars through this program. The Foundation continues to review the annual giving program and explore ways to leverage the contract for maximum results.
Schedule G, Part I, Line 2b Professional Fundraiser The telemarketing services agreement between Ruffalo Noel Levitz LLC (RNL) and Ohio University provides for a year-round, on-site telephone fundraising program. Calling campaigns occur over the fall and spring semesters, with callers working from Ohio University's campus. The agreement is set up so that RNL completes a set amount of program calling hours for the year, and the contract cost includes caller wages and the company's management fee. The program also includes program set-up and consulting, data services, writing services, subscription services, pledge reminder services, thank you emails, and text message campaigns. Revenue streams and cost factors: Prior to the start of calling, RNL provided data enrichment services for mailing addresses, phone numbers (cell and land line), and email verification services. In total, this represents updates to up to 975,000 points of contact information data for OHIO's alumni, improving data quality and contact rates for all channels within the Annual Giving program. Other considerations: As part of the telephone fundraising program, thousands of calls and solicitations are completed each fiscal year. There is a distinct, intangible and long-term value in connecting with alumni. For many alumni, a call from the phonathon is the only direct opportunity they have to speak with an Advancement representative. These calls are an opportunity to thank alumni for past giving, share University priorities, and invite them to give and be involved. The return on investment of a phone program is spread across years: In a study conducted by an independent group, the foundation established the following data and trend lines for Ohio University donors who eventually gave $10,000: i) before making their $10,000 gift, they first participated in 9 to 13 annual fund years; ii) they made a gift in 7 out of 10 fiscal years just prior to making their $10,000 gift; iii) 61% of all donors who made a $10,000 gift made a first gift of $50 or less; iv) 38% of all donors who made a $10,000 gift made a first gift of less than $25. This research shows that in order to move alumni through the donor pipeline into major gifts, they need to be long-time, consistent donors to the university - but their giving starts at moderate levels. The phonathon program through RNL plays an important role in the long-term health of Ohio University's donor pipeline. In addition, in fiscal year 2023, RNL supported other Annual Giving campaigns through targeted emails, direct mail pledge reminders, and a text message program. Text messaging represents a channel not utilized by Annual Giving through any other tool, and research shows that compared to other channels (e.g. email, direct mail), text messages result in significantly higher open/read rates. This service provided by RNL represents a significant step forward in reaching alumni in a new, efficient way.

THE UNIVERSITY'S PROCESS FOR ESTABLISHING THE COMPENSATION FOR TREASURER & CFO CANDICE CASTO, AND OHIO UNIVERSITY PRESIDENT HUGH SHERMAN INCLUDED A REVIEW OF CUPA-HR DATA FOR SIMILAR POSITIONS AT OTHER PUBLIC UNIVERSITIES IN OHIO, IN THE MID-AMERICAN CONFERENCE, AND IN AN ASPIRATIONAL PEER GROUP. COMPENSATION WAS SET AT A LEVEL COMMENSURATE WITH THOSE COMPARISONS, TAKING INTO CONSIDERATION OHIO UNIVERSITY'S SIZE AND COMPLEXITY IN COMPARISON WITH THE OTHER INSTITUTIONS EXAMINED. Form 990, Part VI, Line 4 Significant changes to organizational documents In fiscal year 2023, The Ohio University Foundation made updates to the Code of Regulations, as follows: First, Leadership of the Foundation has, in practice, nominated and advanced a slate of officers for consideration by the Foundation Trustees - in consultation, as needed, with the President of Ohio University - during its regular annual meeting. Also, the Membership Committee of the Foundation has, in practice, proposed new Trustees for election to membership during the Foundation's regular annual meeting. The Foundation's Code of Regulations was revised in November 2022 to formally codify these two practices, which have already been in place for a number of years. Second, the Foundation's Code of Regulations provides that the Board of Trustees may grant Emeritus/ta status to an elected Trustee who has completed nine (9) years of service or to a member of the University's Administrative Staff who has served as an Ex-Officio Trustee. The Foundation's Code of Regulations was revised in June 2023 to add the following: "Under special or extraordinary circumstances, the President & CEO or Chair may recommend that Emeritus/ta status be awarded to an elected Trustee who does not meet this criterion. Such recommendation will be reviewed by the Executive Committee, which, if accepted, may be advanced to the Membership Committee for approval."

Form 990, Part VI, Line 12c Conflict of interest policy The conflict of interest policy for The Foundation covers all members of the Board of Trustees. The policy requires that all potential conflicts be presented to the Chairperson of The Foundation for purposes of review and possible remedial or management action, including the removal of a trustee, and further requires such conflicts be updated annually. Remedial or management action could include, but not be limited to, full disclosure, refusal and abstention in discussions and votes, and ending of the conflict of interest circumstances. In cases where an actual or potential conflict of interest cannot be resolved by remedial or management action, the Trustee will be removed from his/her position.
