Each class of membership carries a different level and ability to influence the governance decisions of the Association. Each Regular Member bank may send one or more representatives to the meetings of the Association; provided, however, that each chief executive officer of a regular member institution, or his or her designee, shall be the delegate of the regular member institution to an Association meeting. Each Regular Member shall be entitled to one vote on each matter submitted to the members for action. Each Regular Member is entitled to all the services and benefits provided by the Association, together with the right to vote, the right to hold office, and the right to be represented on the various committees of the Association. A Financial Service Industry Member shall not be entitled to vote on any matter that comes before the membership of the Association, but may send one or more non-voting representatives to the meetings of the Association; may participate in all activities of the Association without restriction, including service on all committees, excepting the Board of Directors; and is entitled to all services and benefits provided by the Association. Any state or federally chartered trust company duly authorized to conduct a trust business within the State of Connecticut may become a Trust Company Member of the Association. Trust Company Members shall be ineligible to vote or serve as officers or Board of Directors members but may serve as members of other committees of the Association. Associate Company Members shall be entitled to all the services and benefits provided by the Association, but shall be ineligible to vote or serve as officers or committee members unless otherwise authorized by the Board of Directors. |
