DISTRIBUTION TO DONOR ADVISED FUNDS - QUALIFIED DISTRIBUTIONS Form 990-PF, Part VI, Section A Line 12 THE VERTEX FOUNDATION (THE "FOUNDATION") WAS CREATED, IN PART, TO FACILITATE A MATCHING GIFTS PROGRAM OFFERED TO VERTEX PHARMACEUTICALS INCORPORATED ("VERTEX") EMPLOYEES AND DIRECTORS. THE FOUNDATION UTILIZES BENEVITY, A THIRD PARTY VENDOR, TO OPERATE THE MATCHING GIFTS PROGRAM. AS IS BENEVITY'S STANDARD PRACTICE, AMOUNTS CONTRIBUTED BY THE FOUNDATION AS MATCHING GIFTS ARE PAID TO DONOR ADVISED FUNDS ("DAF"), WHICH, IN TURN, DISTRIBUTE THE FUNDS TO CHARITABLE ORGANIZATIONS PURSUANT TO PAYMENT RECOMMENDATIONS MADE BY VERTEX EMPLOYEES WHOSE GIFTS ARE BEING MATCHED. THE VERTEX FOUNDATION MATCHING GIFT PROGRAM IS A ONE-FOR-ONE CHARITABLE DONATION MATCHING PROGRAM DESIGNED TO EXTEND THE IMPACT OF VERTEX PHARMACEUTICALS INCORPORATED EMPLOYEES DIRECTORS' DONATIONS TO QUALIFIED NONPROFIT ORGANIZATIONS. AS VERTEX IS A GLOBAL COMPANY, EMPLOYEE DONATIONS TO QUALIFIED ORGANIZATIONS ARE MATCHED BY THE VERTEX FOUNDATION IN FIVE CURRENCIES: USD, GBP, EUR, CAD AND AUD. ELIGIBLE ORGANIZATIONS MUST BE TAX-EXEMPT AND CLASSIFIED AS A "PUBLIC CHARITY" UNDER CODE SECTION 501(C)(3) AND 509(A)(1) OR 509(A)(2), QUALIFY AS A CODE SECTION 501(C)(3) EQUIVALENT ORGANIZATION, OR CONSTITUTE AN UNIT OF A FEDERAL, STATE OR LOCAL GOVERNMENT UNDER CODE SECTION 170(C)(1) TO QUALIFY FOR MATCHING. BENEVITY AND ITS VENDORS PERFORM DUE DILIGENCE ON EACH ORGANIZATION'S ELIGIBILITY TO ENSURE PROSPECTIVE ORGANIZATIONS ARE ELIGIBLE TO RECEIVE MATCHING FUNDS. BEGINNING IN 2020, THROUGH CYBERGRANTS, THE VERTEX FOUNDATION DISBURSED DOMESTIC GRANTS USING THE CHARITIES AID FOUNDATION AMERICA DONOR ADVISED FUND. THE VERTEX FOUNDATION ALSO USED THE CHARITIES AID AMERICA FOUNDATION DAF TO DISBURSE INTERNATIONAL GRANTS WHEN THE FOUNDATION DID NOT DIRECTLY OBTAIN AN EQUIVALENCY DETERMINATION OR EXERCISE EXPENDITURE RESPONSIBILITY. AMOUNTS CONTRIBUTED BY THE FOUNDATION TO DONOR ADVISED FUNDS ARE TRATED AS QUALIFYING DISTRIBUTIONS.
