| Form 990, Part VI, Section A, line 2 | Wendy Mara and Kimberlee Riley have a business relationship. |
| Form 990, Part VI, Section A, line 4 | During the fiscal year ended June 30, 2024, the Organization made certain amendments to its bylaws, including removing specific purpose language and, instead, referring to the preexisting purpose language in the Organization's Articles of Incorporation. Additionally, the Organization clarified and modified the general powers of the Board of Directors to, among other things, require Member approval in order to create subsidiary foundations and to dissolve the Organization. The amended bylaws also update the composition and election of Board members to no more than 25 Elected Directors approved by the Organization's Members and to generally limit each Elected Director's service to three consecutive three-year terms. The amended bylaws also clarify the role of Emeritus Directors, which are non-voting members of the Board of Directors. The amended bylaws also require that all Directors commit to support financially and actively serve the Organization, and that regular absences from board or committee meetings will result in the automatic removal from the Board, subject to override by the Organization's Executive Committee. The amended bylaws further extend Officer terms from two to three years or until a successor is duly elected, with no Officer serving more than two successive terms. The amended bylaws further clarify that a majority of the authorized number of Elected Directors and voting Ex Officio Directors constitute a quorum and modify various officer titles and descriptions. The Organization also removed its conflict of interest policy from its bylaws and adopted a separate policy with substantially the same terms by separate Board resolution. |

The Foundation's Members include the Bishop of the Diocese of Orlando (or the Diocesan Administrator, in the case of a vacant See); the Vicar General of the Diocese or other appointee of the Bishop; the Chancellor/COO; the Chair of the Foundation's Board of Directors; and the Treasurer of the Foundation's Board of Directors. |
| Form 990, Part VI, Section A, line 7a | The Governance Committee of the Board recruits, selects and submits a slate of potential directors to the Members. The Members approve potential directors who are submitted to the Board for election. |
| Form 990, Part VI, Section A, line 7b | The corporate members of the Foundation approve significant decisions of the governing body, including liquidation or dissolution of the Foundation; merger, consolidation, or transfer of the Foundation's assets; amendments to the Foundation's governing documents; and certain other governing decisions. |
| Form 990, Part VI, Section B, line 11b | The Foundation's top management official and top financial official each review the Form 990 prior to its filing with the IRS. A copy of the final Form 990 is also provided to the voting members of the Foundation's governing body prior to its filing with the IRS. |
| Form 990, Part VI, Section B, line 12c | The Foundation's conflict of interest policy is distributed to each member of the Foundation's governing body, its officers and its key employees on an annual basis. Each such individual provides an annual disclosure statement indicating that they have received, read, understood and agreed to comply with the policy, certifying that: (1) they have no relationships or interests that present a conflict of interest, (2) they have one or more conflicts of interest that have been fully disclosed as required by the policy and have been properly administered in conformity with the policy, or (3) they have previously undisclosed conflicts of interest and disclosing the details of such conflicts. Any disclosure statements with previously undisclosed conflicts of interest are forwarded to appropriate Foundation officials to take appropriate actions as required by the policy. Conflicts are monitored on a continuing basis and appropriate actions are taken when necessary. |
| Form 990, Part VI, Section B, line 15 | The Foundation has adopted an executive compensation setting policy applicable to all disqualified persons, including the Foundation's President, officers and key employees. Under the policy, an independent committee of the Board of Directors annually reviews and approves the compensation levels of all individuals subject to the policy. The deliberations and decisions of the committee are contemporaneously substantiated. The committee utilizes comparability data in its deliberations; updated comparability data is obtained annually. |
| Form 990, Part VI, Section C, line 19 | The Foundation provides, upon request, copies of its Articles of Incorporation, bylaws, conflict of interest policy, and its financial statements. |
| Form 990, Part VII, Line 1: | The Foundation's Board members for which a "1" appears in Part VII, Column E or F are compensated by related organizations of the Foundation. These related organizations have missions or religious purposes that align with the Foundation but are separately managed and operated, and provide different services to their members or customers. The related organizations, which are exempt from filing Form 990, have represented to the Foundation that, as a matter of policy, they do not disclose employee compensation information to third parties, including related organizations. Accordingly, though the Foundation has made a reasonable effort to obtain the information by written request, the compensation of these individuals by related parties has not been reported in Part VII. None of the compensation paid by the related organizations to these individuals relates to services provided to the Foundation. |
