Part VI, Line 6	BHEC is an electric cooperative. Members are the persons that purchase electricity from BHEC. Each member has equal rights and has one vote in the cooperative.
Part VI, Line 7a	BHEC is an electric cooperative. Members are the persons that purchase electricity from BHEC. Each member has equal rights and has one vote in the cooperative.
Part VI, Line 7b	Changes to the bylaws must be approved by a vote of members. Each member has one vote.
Part VI, Line 11b	CFO prepares the Form 990. A copy is provided to the board of directors one week prior to the meeting. Directors and management review the form 990 at the board meeting. If changes are needed the CFO makes them prior to filing.
Part VI, Line 12c	When a potential conflict of interest comes up the general counsel reviews the conflict of interest policy and the board ensures compliance. The policy is reviewed on a yearly basis.
Part VI, Line 15	A yearly compensation study is prepared by management and presented to the board. The study includes national regional state and local wage comparisons for each position within the cooperative. It compares internal equity based on benchmarking a common position along with evaluating external competitiveness. The board uses this information to set compensation.
Part VI, Line 19	All disclosures of documents required by law are made available to the public. Private corporate documents financial statements and policies may be available to the public or members pursuant to board policy number 111: Member Requests for information. Upon written request the CEO schedules a time for the review of requested articles at the cooperative headquarters. Also an audited financial statement is mailed yearly to all active members of the cooperative as part of the Annual Report.
