The former President (Mary Dwyer), spouse of the current President Thomas Dwyer, is an ex-officio non-voting Board member, in accordance with the organization's Rules and By-Laws.

We are a not-for-profit corporation with members who vote for the office of President within all member Conferences (chapters). Conference members also approve significant decisions of their Conference officers. There are no profits or assets involved at any level within our District Council.

The District Council's Board of Directors includes the elected President of each member Conference, as well as District Council officers and committee chairs. The Conference Presidents are each elected by their Conference membership. As Board members, The Conference Presidents, District and committee chairs approve significant decisions of the District Council President and officers. The Conferences do not have Boards of Directors. Only the District Council has a Board of Directors who elects the District Council President. At every level, all other officers and committee chairs are appointed by the President at that respective level.

The District Council's main governing document is our organizational By-laws. They are periodically updated or amended in accordance with the organization's National Council after distribution, review and a vote by the entire Board of Directors (officers, Conference presidents and committee chairs) at a regular Board meeting. Every Conference President has received a copy of the By-laws for availability within their Conferences. We are an all-volunteer organization. Since our first Form 990 filing in tax year 2018 (our fiscal year 2019) after our transition to our own 501(c)(3) tax exemption, I (Mary Dwyer) have been responsible for our filing. [For the prior tax year 2017 (our fiscal year 2018) we filed a Form 990-N e-Postcard.] Each year since 2018, I have submitted an IRS Form 8868 for an automatic 6-month filing extension. I believed I had done so again this year prior to February 15, 2024. However, I discovered otherwise on Thursday, May 30, 2024, hence this late Form 990 submission. This omission on my part was due to ongoing distractions from personal family matters that have consumed my time, as well as my husband's, since last fall. From October 2023 through February 2024, my husband Tom and I have been very distracted from many of our volunteer responsibilities due to my husband's extremely ill younger sister in California. We live in Massachusetts, but we spent several weeks during that time making 2 separate trips to assist her. The first 3-week trip was to move her from a skilled nursing facility to a Board and Care facility, and also to move her belongings out of the assisted living home she lived in before being hospitalized, then discharged to the skilled nursing home. For 2-1/2 weeks in February 2024 (when the Form 8868 filing was due), we were in California arranging for Hospice care for my sister-in-law. This was a very emotionally and physically consuming time for us. I am a retiree, having had a professional career since my retirement 5-1/2 years ago. As past President and current Grants and Assistance Coordinator for our charitable organization, my time is consumed with grant application and reporting, managing and triaging our active Help Line assistance requests, maintaining our organization's website, and providing day-to-day support for members using our case management software, to name a few of my daily volunteer tasks. My negligence in not submitting our IRS Form 8868 by its due date when I thought I had done so was not at all intentional; I was horrified when I realized I had not submitted it. I will appreciate your understanding and waiver of penalties in this situation.
