Explanation:

Through COVID-19 pandemic related restrictions on gatherings, the organization severely reduced operations and activities. Membership lapses during the period resulted in dereliction by the prior governing body, of the responsibility of executing the organizations traditional succession planning procedures, including financial reporting training. While late, this organization and its incumbent governing body filed here its 2022 form 990 both in good faith and promptly upon realization of this responsibility. Further, formal succession planning procedures which were neglected by the prior governing body have been reinstated by the incumbent ensuring that future members of the governing body will fully understand and meet reporting responsibilities in a timely manner.
