The Executive Committee has the power to: - Transact the ordinary business affairs of the Corporation during the period between the meetings of the Board of Directors, subject to any prior limitation imposed by the Board of Directors; - Evaluate and make recommendations with regard to major operational issues affecting the Corporation; - Review and recommend changes to the Articles of Incorporation and Bylaws; - Oversight and full approval of all committee actions pnor to recommending to the Board of Directors; and - Evaluate the needs of the Board of Directors and develop a profile for prospective directors to fill vacancies. The Committee shall solicit recommendations from Directors and/or Corporate staff and identify and recruit individuals to best fit the profiles and needs of the Board of Directors. The Committee will provide a slate of candidates for Board of Directors discussion and approval at the annual meeting, or as needed to fill vacancies. |

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a Conflict of Interest Statement. In the event that the Board Chair believes that a Director may have a conflict of interest that the Director has not disclosed, the Board Chair may raise the question of a conflict with regard to any other Director. Similarly, the Vice Chair may raise the question of a conflict with regard to the Board Chair if the Board Chair fails to disclose a matter that may constitute a conflict. |
