Return Reference Explanation
Part X, Line 2: The Alliance is exempt from both federal and state income taxes under Section 50l (c)(6) of the Internal Revenue Code. Therefore, no provision is made for taxes on income. Tax-exempt organizations could be required to record an obligation for income taxes as the result of a tax position historically taken on various tax exposure items including unrelated business income or tax status. In accordance with U.S. GAAP, assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. Management has evaluated tax positions taken by the Alliance on their filed tax return and concluded that the Alliance has maintained its tax-exempt status, does not have any significant unrelated business income, and has taken no uncertain tax positions that require adjustment to or disclosure in the accompanying financial statements.

Part I, Line 4a The Global Seafood Alliance announced on March 31, 2023, that Brian Perkins had retired from the Organization after a two-year tenure as the Organization's CEO, aiding the Organization through a development and transitory period. Pursuant to leaving the Organization, Mr. Perkins received severance compensation of $126,923. Such compensation was reportable to Mr. Perkins as taxable income and included within his 2023 Form W-2, Box 5 wages. Additionally, in accordance with IRS Instructions, such severance compensation has been included within the "Other Income" amounts reported for Mr. Perkins on this Form 990, Schedule J, Part II, Column B(iii). Lastly, as Mr. Perkins actively served as the Organization's CEO during this tax period, he has still been deemed a "Current Officer" for purposes of reporting on this Form 990 in accordance with IRS Instructions, though his term of service did end mid-year and he did receive taxable severance payments during this reporting period.

Form 990, Part VI, Section B, line 11b The Form 990 was prepared by an independent outside accountant with the staff accountant. It will be reviewed by key staff and officers after filing with the IRS.
Form 990, Part VI, Section B, line 12c Global Aquaculture Alliance implemented a conflict of interest policy in 2016. All officers and directors were required to sign the policy when it was implemented. The organization reviews the policy annually to determine any necessary updates. Since early 2018, all officers, directors, and other key personnel have been required to review and sign an updated statement on an annual basis and document any potential coflicts of interest.
Form 990, Part VI, Section B, line 15 The Board reviews and approves compensation for the organization's officers annually, and documents the discussion in writing.
Form 990, Part VI, Section C, line 19 The Organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request.

The review was subject to the oversight of the Organizatin's chief finance and accounting personnel, as well as the Board and any finance and audit committees thereof.
