| Part IV, Section A, Line 1 | Adventist Health System/Texas, Inc., (the filing organization) and Texas Health Huguley, Inc. and Texas Health Hospital Mansfield (the supported organizations) are part of a faith-based healthcare system of organizations whose parent is Adventist Health System Sunbelt Healthcare Corporation (AHSSHC). The system is known as AdventHealth (AH). AHSSHC is an organization exempt from federal income tax under IRC Section 501(c)(3). AHSSHC and its subsidiary organizations operate 50 hospitals throughout the U.S., primarily in the Southeastern portion of the U.S. AHSSHC and its subsidiaries also operate other ancillary health care provider facilities, such as ambulatory surgery centers and diagnostic imaging centers. The first supported organization, Texas Health Huguley, Inc., came into existence as a result of a joint venture affiliation between AHSSHC and Texas Health Resources, Inc. an unrelated tax-exempt healthcare system, to own and operate Texas Health Huguley Hospital (THH), a 327 bed hospital in Burleson, Texas that opened in 1977. The clinical and operating staff payroll of THH were transferred to the filing organization as part of the affiliation. As such the filing organization continues to maintain the payroll of clinical and operating staff and leases all of those staff members to THH for the benefit of the supported organization. This staff leasing relationship between the two organizations creates a close and continuous relationship that dates back to the creation of the supported organization. The second supported organization, Texas Health Hospital Mansfield (THHM), is a 59 bed hospital in Mansfield, Texas, that opened in 2020 and is 100 percent owned by Texas Health Huguley, Inc. The clinical and operating staff payroll of THHM were transferred to the filing organization as of it's opening date. As such the filing organization maintains the payroll of clinical and operating staff and leases all of those staff members to THHM for the benefit of the supported organization. This staff leasing relationship between the two organizations creates a close and continuous relationship. |
| Part IV, Section D, Question 3 | Adventist Health System/Texas, Inc., (the filing organization), Texas Health Huguley, Inc. (THH), and Texas Health Hospital Mansfield (THHM) (the supported organizations) are part of a faith-based healthcare system of organizations known as AdventHealth, whose parent is Adventist Health System Sunbelt Healthcare Corporation (AHSSHC). The primary activity of the filing organization is to lease personnel to the supported organizations which operate a 327 bed and a 59 bed hospital respectively. In providing this support the filing organization employs and provides personnel services for approximately 2,700 workers who manage and operate the hospital facilities. The supported organizations have a significant voice in the filing organization's investment policies and in directing the use of the filing organization's income or assets throughout the year. All four members of the filing organization's Board of Directors are Board Members or officers of THH and one of the filing organizations Board Members is an officer of THHM. Per the filing organization's governing documents, the Board of Directors of the filing organization has the power to control and manage the property, business, and affairs of the filing organization, subject to certain reserved powers held by the Member. Through this overlap of Board members and officers the supported organization is continually involved in directing the use of the filing organization's assets and resources. |
| Part IV, Section E, Question 2a | The filing organization supports Texas Health Huguley, Inc. and Texas Health Hospital Mansfield (the supported organizations). The primary activity of the filing organization is to lease personnel to its brother-sister affiliated 501(c)(3) entities, the supported organizations which operate a 327 bed hospital facility and a 59 bed hospital facility, respectively. The sole activity of the filing organization is the leasing of approximately 2,700 personnel to the hospital facilities which represent the entire clinical and operating staff of the Hospitals. The activity of leasing personnel to the supported organizations (the Hospitals) is in "direct furtherance" of the supported organizations' exempt activity as the personnel are assets used in carrying out the exempt purpose of providing hospital services to the community. As noted in our response for Schedule A, Part VI, Section D, Question 3 concerning how the filing organization is responsive to the needs and demands of the supported organization, both supported organizations have significant representation on the filing organization's Board of Directors. This overlap results in the filing organization being responsive to the needs of the supported organizations. |
| Part IV, Section E, Question 2b | The activity of leasing personnel to its supported organizations is an activity that, but for the involvement of the filing organization, the supported organizations would be required to engage in. Were it not for the filing organization, the supported organizations would be required to employ their own personnel in order to conduct their business of operating a hospital facilities and providing these necessary services to the public. |

The filing organization does not generally make its governing documents or conflict of interest policy available to the public. |
| Part VII, Section A: | For those Board of Director members and officer(s) who devote less than full-time to the filing organization (based upon the average number of hours per week shown in column (B) on page 7 of the return) the compensation amounts shown in columns (E) and (F) on page 7 were provided in conjunction with that person's responsibilities and roles in serving in an executive leadership position as an employee of Adventist Health System Sunbelt Healthcare Corporation. |
