The Foundation did not conduct programmatic activities during 2024. Operations were limited to necessary administrative expenses incurred to maintain the organization during its wind-down. No revenues were realized in 2024 or thereafter. Due to minimal resources and absence of dedicated staff the 2024 filing was inadvertently overlooked. The failure to file was the result of administrative oversight not willful neglect. Upon discovery in 2025 the Foundation promptly prepared and filed the delinquent 2024 return to restore compliance.
