INATAI FOUNDATION IS EXEMPT FROM FEDERAL INCOME TAX WITH THE EXCEPTION OF ANY UNRELATED BUSINESS TAXABLE INCOME AS DEFINED UNDER IRC SECTIONS 511 THROUGH 515. IIMCO AND INATAI CAPITAL GP LLC ARE LIMITED LIABILITY COMPANIES. THE FOUNDATION ACCOUNTS FOR UNCERTAIN TAX POSITIONS WHEREBY THE EFFECT OF THE UNCERTAINTY WOULD BE RECORDED IF THE OUTCOME WAS CONSIDERED PROBABLE AND ESTIMABLE. THE FOUNDATION HAD NO UNCERTAIN TAX POSITIONS AS OF DECEMBER 31, 2024 AND 2023. INATAI FOUNDATION PROVIDES A SECTION 457F NONQUALIFIED DEFERRED COMPENSATION PLAN FOR THE CHIEF INVESTMENT OFFICER. THE CIO RECEIVED A PAYOUT OF $70,000 AND ACCRUED $280,000 FROM THE PLAN IN 2024.
PART I, LINE 7: THE FOUNDATION PAID $120,000 AND $75,737 IN INCENTIVE COMPENSATION TO TWO SENIOR PORTFOLIO MANAGERS IN 2024. THESE PAYMENTS WERE AT THE DISCRETION OF THE CIO AND BASED ON A FIXED FORMULA.
