Form 990, Part VI, Section A, line 1a The Directors may by a vote of a majority of the Directors then in office, elect from their number such committees which may exercise some or all of the power of the Directors except those which by law, by the Articles of Incorporation or by these By-Laws, they are prohibited from delegating. Except as the Directors may otherwise determine, any such committee may make rules for the conduct of its business, but unless otherwise provided by the Directors or such rules, its business shall be conducted as nearly as may be in the same manner as is provided by these By-Laws for the conduct of business by the Directors.
Form 990, Part VI, Section A, line 6 Members are those person having membership rights and privileges in the corporation in accordance with the Articles of Incorporation and with the By-Laws. The number of members shall be established at three. The members of this corporation are the South Lake Tahoe Tourism Improvement District; Tahoe Douglas Visitors Authority; and Douglas County, Nevada.
Form 990, Part VI, Section A, line 7a The Lake Tahoe Tourism Improvement District and the Tahoe Douglas Visitors Authority each shall select or appoint two (2) Directors. Douglas County Nevada will appoint one (1) Director. An at-large Director from Nevada shall be appointed by a majority of the Board of Directors. The second at-large Director shall be an employee of either the City of South Lake Tahoe or a member of the South Lake Tahoe City Council.
