	UPA organizes an annual golf tournament known as the Oil & Gas Classic. The Oil & Gas Classic is an opportunity for industry professionals and others interested in the industry to get to know each other in a relaxed environment. The Oil & Gas Classic is well-attended and participants have many opportunities to reconnect with others in the industry or to forge new relationships. Proceeds of the Oil & Gas Classic are generally used to fund UPAs other activities, including the annual and mid-year meetings and UPAs policy-influencing activities. In addition, the association hosts a top golf charity, a fly flishing charity and various lunch and learn activities.

	UPA conducts an Annual Meeting along the Wasatch Front. The Annual Meeting is a meeting of members and non-members. At the meeting, participants are able to engage with each other concerning the oil and gas industry and to interact with exhibitors, who represent all parts of the industry. In addition to creating an informal atmosphere for collaboration, the Annual Meeting has speakers to whom participants may listen concerning relevant topics to the industry. Speakers normally include experts in the field, as well as, government leaders and rule-makers whose decisions have an impact on the oil and gas industry.

	UPA Organizes special projects for the benefit of our members to help members cost share consulting or legal expertise, for example to address issues affecting multiple industry members ranging from operational rules and regulations to air quality and water issues. We also use special projects to organize efforts to support our members jontly funding community support initiatives, such as annual tribal holiday voucher where UPA partners with the Ute Tribe to provide each tribal family with financial vouchers that can be used during the holiday season.

Other	UPA is a trade organization tha tsupports and promotes the interest of the oil, gas and petroleum industry in Utah through public governmental advocacy, education, and exchange of information and ideas. UPA provides opportunities for industry members to meet and engage with each other. UPA interacts with rule-making bodies an dthe media to inform them about issues affecting the industry. UPA also offers in-person and online educational opportuities about the oil and gas industry.
Pt VI, Line 6	Classes of Members or Stockholders UPA is a trade organization whose members consist of companies or individuals related to or interest in the oil, gas, or petroleum industries. Membership in UPA does not entitle any member to share in the capital or assets of the company. UPA does not have shareholders.
Pt VI, Line 7a	Election of Members and Their Rights UPA is governed by an Executive Committee that consists of twelve of the associations members. Each Executive Committee member serves a two-year term. One of the Executive Committee Members is the Chairman. The Chairman is the chief executive officer of UPA. Two of the Executive Committee Members are the Vice Chair. The Vice Chair makes periodic examination of UPAs expenditures and serves as Chairman in the Chairmans absence. The Chairman and the Vice Chair are UPAs officers, and each serve for a one-year term. Each year, the Chairman and a nominating committee nominate candidates for the next years Chairman and Vice Chair positions, as well as the UPA members who will serve on the Executive Committee as vacancies arise. After nomination, the Chairman appoints the next years Chairman, Vice Chair, and members of the Executive Committee. At the annual meeting of UPAs members, the entire general membership approves the appointees who will serve as the next years Executive Committee and officers.
Pt VI, Line 7b	Decisions Subject to Approval of Members The Executive Committee makes decisions on behalf of UPA throughout the year. As stated in response to Part VI. Section A. Line 7a., approval is required from UPAs general membership of the appointment of UPAs Chairman, Vice Chair, and Executive Committee.
Pt VI, Line 11b	Organizations Process to Review Form 990 The President is responsible for preparation and filing of UPAs annual informational returns.
