Members or stockholder classes and rights Part VI line 6	Members are businesses and individuals which receive electric service from the cooperative.
Member election for additional members Part VI line 7a	Each member of the cooperative is entitled to vote in the election of the board of directors. Elections are held annually at the annual meeting. Voting is allowed in person at the meeting or by mail-in ballot.
Governing body decisions Part VI line 7b	By-laws may be altered, amended, or repealed by the members at any regular or special meeting of the members. By-laws may also be altered, amended, or repealed by the Board of Directors in compliance with Wyoming state statute.
Form 990 governing body review Part VI line 11	After the Form 990 has been prepared by the independent accountanting firm, the General Manager and staff review the Form 990 for accuracy and completeness. After the General Manager and staff believe the Form 990 to be accurate and complete it is submitted to the Board of Directors for their review. Following the Board of Directors review, they formally approve a motion to accept the Form 990, afterwhich the General Manager signs the Form 990 and it is filed to the IRS.
Conflict of interest policy compliance Part VI line 12c	Management ensures the enforcement of compliance as it relates to conflicts of interest when hiring employees and contracting for services. The Board of Directors verifies conflicts of interest prior to nominating individuals to be elected to the Board. When necessary, potential conflicts of interest are discussed with legal counsel to determine the appropriate form of action in accordance with policy.
CEO executive director top management comp Part VI line 15a	The Board of Directors reviews the General Managers current compensation and, to the extent possible, compares it to the compensation of other comparably-sized electric cooperatives within the region. Additionally, the Board reviews the General Managers compensation relative to the compensation of other executive-level positions within the region to measure its reasonableness. After considering these factors, along with consideration of the General Managers performance, the Board annually approves the General Managers compensation package.
