Explanation:

Our organization experienced governance challenges during the period in question. For a time the Board of Directors was reduced to a single member. When new board members including myself were added there was a delay in obtaining records and clarity about prior filings. The remaining board member was initially hesitant to transition records and it was not immediately known whether Form 990-EZ had been filed for the affected years. Once the issue was identified and clarified the current board took prompt steps to gather the necessary information and bring all filings current. These circumstances were beyond the reasonable control of the current board. We have now implemented stronger recordkeeping and oversight practices to ensure that all required IRS filings will be completed on time going forward.
