| Form 990, Part VI, Section A, Line 6 | The members of the then-current Board of Directors shall be the Voting Members of the Corporation. However, all collegiate members of the Gamma Alpha Chapter who are in good standing with the Fraternity, and all alumni members of the Gamma Alpha Chapter who are in good standing, shall be non-voting members of the Corporation. This non-voting membership status is granted by virtue of such collegiate and alumni members' status as intitiated members of the Gamma Alpha Chapter. Such membership is consistent with the Corporation's status as a social club existing in support of the Chapter and will enhance the opportunity for commingling of the non-voting members. However, such collegiate and alumni members shall not be considered members for purposes of the California Nonprofit Corporation Law and shall not be entitled to any vote on Corporation matters. Likewise, while the Voting Members will endeavor to keep the non-voting members apprised of the affairs of the Corporation, such collegiate and alumni member shall not have a right to notice of, or attendance at, Corporation meetings. |
