What is the organization's primary exempt purpose? THE PURPOSE FOR HOLDING A COUNTY FAIR IS TO CREATE AN ANNUAL EVENT AT WHICH COMMUNITY, CIVIC, YOUTH AND NON-PROFIT GROUPS CAN PROVIDE INFORMATION ABOUT THEIR GROUP TO THE RESIDENTS OF MAUI COUNTY, HAWAII. THE FAIR PROVIDES A CENTRAL LOCATION AT WHICH 1.) AGRICULTURAL GROUPS, SUCH AS 4-H CLUBS AND ANIMAL CLUBS CAN EXHIBIT LIVESTOCK AND POULTRY, 2.) FLOWER AND CROP GROWERS CAN EXHIBIT ORCHIDS AND VEGETABLES, 3.) SCHOOL CHILDREN CAN DISPLAY ART WORK, 4.) COMMUNITY GROUPS CAN DISTRIBUTE INFORMATION ABOUT THEIR ORGANIZATIONS, 5.) Return Reference Explanation
CONF A Board Member shall be entitled to enter into transactions with the Alliance, it being expressly understood that some of the Board Members may provide services for which the Alliance will pay such Board Member. The Board Member shall receive the consent of a majority of the Board Members to enter into such transaction. In the event that the Board Member does not receive the consent of a majority of the Board Members to enter into such transaction, the Board Member shall account to the Alliance, and hold as trustee for it, any property, profit, or benefit derived by the Board Member. No transaction with the Alliance shall be voidable solely because a Board Member has a direct or indirect interest in the transaction if either the transaction is fair to the Alliance or a Majority of the remaining Board Members (in either case knowing the material facts of the transaction and the Member's interests) authorized, approved, or ratify the transaction.
