| Form 990, Part VI, Section B, Line 12c | The organization maintains a robust Code of Business Conduct and Policies to which all employees are subject and must acknowledge in writing. Among other things, the Code defines and sets forth policies related to potential and actual conflicts of interest, with additional conflict of interest policies applicable to the Board of Directors and Senior Management. The General Code of Business Conduct requires that personnel conduct themselves in a way that avoids even the appearance of improper behavior and would prohibit those persons with a conflict from participating in the organizations deliberations and decisions with respect to any applicable transaction. Additionally, all employees receive and must comply with a detailed Policy for Reporting Violations of the Code and Business Conduct and Policies. Further, members of the Board of Directors, Senior Management and select other employees annually complete a Conflicts of Interest Financial Disclosure Form. The information on these forms is reviewed for conflicts of interest by an independent Ethics Panel comprised of three outside attorneys who do no other business with the organization for any potential conflicts. Information disclosed in the Financial Disclosure Forms is cross-checked against the organizations comprehensive vendor list to avoid any potential or actual conflicts of interest. Employees are obligated to update their disclosure forms should their circumstances change after the annual form is completed. In addition to the Ethics Panel, potential violations or conflicts of interest among non-management employees are reviewed by the Principal Ethics Officer. |
