THE PLAN'S EXEMPTION LETTER IS DATED JULY 27, 2005 IN WHICH THE IRS STATED THAT THE PLAN, AS THEN DESIGNED, WAS IN COMPLIANCE WITH THE APPLICABLE REQUIREMENTS OF THE IRC. THE PLAN HAS BEEN AMENDED SINCE RECEIVING THE EXEMPTION LETTER.
