| Form 990, Part VI, Section A, line 1a | There shall be an Executive Committee comprised of the President of the Board, Vice President, the Treasurer, Secretary, and the immediate Past President. This committee may be called into meeting at any time by the President, or in his or her absence by any member of this committee for study and discussion of any subject prior to a meeting of the Board of Directors, and in the interim between regular meetings of the Board, and in such instances when time and other extenuating circumstances prohibit a meeting of the entire Board, may perform the duties which would ordinarily come before that body. The CEO budgets annual compensation for employees and those compensations are discussed with the executive board. They make any recommendations and approve the budgeted line item. The President of the Board can deviate from the budget for increases to the CEO's compensation as they feel appropriate and have that approved by the Executive Board. If there are staff changes or adjustments, the CEO discusses that with the Executive Board as they occur within the year. In addition, the CEO and Executive Board may choose to deviate from the budgeted amount for compensation if they feel it necessary for the betterment of the organization. |
