Part VI, Line 12c	BizFed Central Valley has a Conflict of Interest Policy that requires all interested persons including directors officers members employees and independent contractors to disclose the existence of financial interest. The Policy is distributed to each new director officer member employee and independent contractor upon assuming the position and annually thereafter. At the beginning of every Board of Directors meeting the Chair asks any person who has an actual conflict of interest must and any person who has a possible conflict of interest may abstain from making participating in any way or attempting to influence the decision. The minutes of the meeting contain the names of directors who abstained from voting due to the existence actual or possible conflict of interest pertaining to a particular action item on the agenda.
Part VI, Line 15	The CEO is hired by and the compensation is determined by the Board of Directors. The CEO is responsible for the hiring and determination of compensation of all employees and independent contractors. The compensation of the CEO employees and independent contractors are approved by the Board of Directors as part of the annual budgeting process.
