Reg. 1.1298-1(b)(2)(ii), the organization as an indirect U.S. shareholderis not required to file Form 8621 with respect to these PFIC holdings. Explanation re. potential self-dealing concern (Line 1a1) Form 990-PF, Part VI-B, Line 1a1 This following explanation provides a factual summary of the transaction structure to assist the IRS in evaluating the transaction under IRC 4941.The transaction concerned the sale of an S corporation in which The Ryan Foundation, a private foundation, was the principal seller, holding more than a 50% pro-rata ownership interest. The buyers qualified as disqualified persons under 4946.The initial proposal was structured as a merger; however, The Ryan Foundation declined to consent to the sale of its stock without first obtaining a qualified, independent appraisal to substantiate the proposed price, among other things. Although the company subsequently provided an appraisal, it did not conform to customary valuation principles under 4941. Instead, approximately 80% of the appraisal's weighting was based on the disqualified buyers' own determination of value.When the merger could not proceed, the buyers elected to purchase the company's assets rather than its stock. This alternative structure, the second proposed transaction was executed later in the same tax year, followed by the company's dissolution. As a result, the disqualified buyers acquired ownership and control of the assets and income previously held by the corporation, in which The Ryan Foundation was a majority shareholder, without the Foundation's consent, participation, or the benefit of a credible, independent valuation. In effect, the disqualified buyers sold the company to themselves at a price they unilaterally determined.The Foundation believes the facts described above may raise potential questions under 4941. Accordingly, this disclosure is being made voluntarily to enable the IRS to evaluate the transaction and determine the appropriate treatment, if any, under the self-dealing rules.
