Pt VI, Line 11b	A draft of the return is presented to the executive director and the internal affairs committee of the board for review with the CPA. Upon approval by the executive director and the internal affairs committee it is presented to the entire board and approved for filing.
Pt VI, Line 12c	The organization adopted a conflict of interest policy in 2017. Board members, officers, and committee members must disclose any actual or possible conflict of interest and are not allowed to vote on the matter involving the conflict of interest. Each board member, officer and committee member with governing authority must annually sign a statement that they have received the conflict of interest policy, they have read and understand it, they have agreed to comply with the policy, and they understand the society is a 501(c)(6)tax exempt organization and in order to maintain its federal tax exemption it must be a Society of persons having some common business interest and its purpose must be to promote this common business interest. The statement also requires the person to list all affiliated organizations for which he is a board trustee, a committee member, a consultant to, or an employee. They must also reaffirm in this statement that they have not personally benefited from any arrangement, agreement, investment, or other activity with any vendor, supplier, or other party doing business with the Society and that they did not receive any salary payments, loans or gifts of any kind or any free service from or on behalf of any person or organization engaged in any transaction with the organization.
Pt VI, Line 15a	The executive directors salary is reviewed annually by the board of directors. Comparison data from AAMSE, a national organization of Medical Society Association Executives, is used for comparability. The board has a rating protocol and policy for the EDs performance and the resulting pay rate is documented in the EDs file. The approval of the pay rate is documented in the minutes of the board meeting but the actual pay rate is only listed in the EDs personnel file.
