| Form 990, Part VI, Section A, line 4 | During the period covered by this Form 990, Granite Young Men's Christian Association (the Organization") approved amended and restated bylaws. The amended bylaws made effective the following changes: 1. The amended bylaws updated the terms for memberhship to state that all are welcome to become members, and that financial assistance is available for those who cannot afford the full membership fee. The Organization's Board of Directors may establish further categories, criteria, fees, and requirements for membership. However, the Organization reserves the right to remove the membership status for those whose behavior does not conform to TGY values and standards. Additionally, the amended bylaws eliminated the membership's ability to elect the Board of Directors. 2. The amended bylaws confirm that Directors shall be volunteers and shall not accept, directly or indirectly, compensation for duties performed as a Director. 3. Members of the Board of Directors shall now be chosen by a majority of Directors at the annual meeting. The previous bylaws stated that the Organization's members elected board members at the annual meeting. 4. Directors may now serve for a maximum of three consecutive three-year terms. The previous bylaws allowed a board member to be re-elected to the board after a one-year absence. 5. The amended bylaws clarified that the Organization's Chief Executive Officer (CEO) shall be employed by the Board of Directors and the CEO's compensation shall be determined by the Board of Directors using a review and approval by independent persons, comparability data, and contemporaneous substantiation of the deliberations and decision. The Board of Directors shall also review the performance of the CEO annually against measurable goals and outcomes. 6. The amended bylaws state that the Organization's officers shall be the Chair, Vice Chair, Secretary and Treasurer. The Chair and Vice Chair shall serve for no more than two consecutive terms of one year each, and the Treasurer and Secretary can serve for up to four consecutive one-year terms. The duties of the officers were also clarified and expanded in the amended bylaws, and any officer may now be removed from office by a two-thirds vote of the Board of Directors. 7. The amended bylaws now state that any mergers, dissolution or bankruptcy of the Organization now require a two-thirds vote of the Board of Directors. |
| Form 990, Part VI, Section B, line 11b | For the year covered by this Form 990, TGY engaged an independent public accounting firm to perform an audit of its financial statements and to subsequently assist in the preparation and filing of its annual Form 990. In accordance with TGY's bylaws, the audit of TGY's financial statements and the preparation and filing of its annual tax returns are subject to the oversight of chief management and finance personnel, as well as the Organization's audit and finance committees.
