	The Trust is a voluntary employees' beneficiary association established to provide welfare benefits to employees (both active and retired) of the Roman Catholic Bishop of Portland. Its sole activity is receiving, holding, and investing employer contributions to fund welfare benefits for employees, and distributing funds to pay for employee benefits pursuant to plans maintained by the Roman Catholic Bishop of Portland. (Continued on Schedule O...)The Trust provides medical, dental, vision, and pharmacy benefits to its members through a self-funded group health plan. Eligibility for benefits is open to any employee of the Roman Catholic Bishop of Portland who is a Roman Catholic Priest incardinated in the Roman Catholic Diocese of Portland (active or retired), a priest incardinated in the Diocese and serving outside the Diocese, or a priest who is a member of a religious order or community, serving in a Diocesan assignment. All members of the association are eligible for benefits. All time, expenses, and resources employed by the Trust are for the maintenance and provision of these benefits, which is the Trust's exempt purpose.

Form 990, Part VI, Section A, line 6	The Trust's Board of Trustees and governing body is comprised of the members of the Diocesan Bishop of Portland Priests Benefit Board. The Benefits Board has the right to exercise discretionary management and control over the assets and administration of the Diocesan Priests' benefits plans, medical programs, pension programs, and annuity programs. Such rights extend to the Trust. The Roman Catholic Bishop of Portland (RCBP) established the Roman Catholic Diocese of Portland Diocesan Priests' Medical Benefits Trust (the Trust) to be held for the benefit of the active and retired priests of RCBP covered by the previously adopted Priests Medical Program (the Program). Said active and retired priests constitute the members of the Trust. The Trust is a single employer defined benefit postemployment healthcare plan established and administered by the RCBP to provide for health benefits for its members. Membership in the Trust is open to employees of the Roman Catholic Bishop of Portland who are a Roman Catholic Priest incardinated in the Roman Catholic Diocese of Portland (active or retired), a priest incardinated in the Diocese and serving outside the Diocese, or a priest who is a member of a religious order or community serving in a Diocesan assignment. Only persons who meet these qualifications may become members and be eligible for benefits provided through the Trust, but all members of the Trust are entitled to equal benefits. There are two classes of members: active members and retired members. Membership does not convey any voting rights. No group or class of person is required to join the Trust as a member.
Form 990, Part VI, Section B, line 11b	A draft of the Form 990 is presented to the Director of Parish Financial Services and the Department Director and Finance Officer of the Roman Catholic Diocese of Portland, a related controlling organization of the Trust, for their review and approval prior to filing.
Form 990, Part VI, Section B, line 12c	As the Trust exists to serve of behalf of and was established by the Roman Catholic Diocese of Portland, and as members of the Trust's Board are also members of the Roman Catholic Diocese of Portland Priests' Benefit Board, all of the VEBA's Trustees must comply with the Roman Catholic Diocese of Portland's conflict of interest policy. This policy includes the following procedures: 1.) Church Personnel are expected to avoid all situations that are likely to result in a conflict of interest. Even the appearance of a conflict of interest can call integrity and professional conduct into question; 2.) If a conflict of interest exists or arises, Church Personnel will inform all parties. 3.) Church Personnel are expected to establish and maintain clear, appropriate boundaries with anyone with whom they have a business, professional, or social relationship (e.g. parishioners, vendors, prospective employees, etc.).
