Schedule D, Part X, Line 2 Georgia Transmission Corporation is a §501(c)(12) cooperative and is exempt from federal and state income taxes, provided that at least 85% of its revenue is derived from its Member Systems and Oglethorpe Power Corporation. The Corporation has processes in place to ensure the maintenance of its tax-exempt status, to identify and report unrelated business income, and to identify and evaluate other tax positions. Management has evaluated the Corporation's tax positions and has concluded that there are no material uncertain tax positions that require recognition or disclosure in the financial statements.

Schedule J, Part I, Line 1a All Georgia Transmission Corporation officers and qualifying associates are eligible to receive a car allowance. The annual allowance ranges from $6,000 to $12,000. These amounts are not grossed up for income tax purposes and are included as taxable wages in Box 1 of Form W-2 for each individual receiving the allowance. Car allowances are reviewed annually. No documentation is required to substantiate the receipt of the car allowance. However, mileage reimbursements are provided separately and must be substantiated prior to reimbursement.
Schedule J, Part I, Line 3 Georgia Transmission Corporation maintains a Compensation Committee, which is a subset of the Board of Directors. The Chief Executive Officer's compensation is reviewed annually using market data and analysis prepared by Human Resources. This information is presented to the Compensation Committee for review and approval. The Committee then submits its recommendation regarding any compensation adjustments to the full Board of Directors for final approval.
