Statement:
Effective November 26, 2025, the Board of the Foundation authorized its written consent to voluntarily dissolve. The Foundation's Certificate of Dissolution has been filed with the State of Maine as of the filing of this Form 990-PF, and all wind-down procedures and final transfers of assets were concluded by December 31, 2025. There being no members of the Foundation other than the members of the Board, no separate vote of the membership is required to approve this dissolution, and no approval of the dissolution of the Foundation is required by any government agency or officer. As of the filing of this Form 990-PF for the year ending December 31, 2025, the Foundation retains no legal right to any assets or liabilities. This final 2025 Form 990-PF indicates that the Foundation is due a Section 4940 excise tax refund of $253. The Foundation has submitted this Form 990-PF such that the refund will be paid directly to the Rural Youth Institute, a successor-organization recognized as a Section 170(b)(1)(A)(vi) public charity. Accordingly, the $253 refund is included as both an expenditure for grants paid on this 2025 Form 990-PF as well as a net asset adjusting item. The Foundation made grants in the following amounts to the recipients listed below as part of its wind-down procedures: - $328 to Maine Philanthropy Center (EIN: 01-0503126). - $212,000 cash gift to the Rural Youth Institute (EIN: 93-2311046) - $98,413 value of partnership interest transferred to the Rural Youth Institute (EIN: 93-2311046) - $253 pending refund to be deposited with the Rural Youth Institute (EIN: 93-2311046) - $10,000 to the University of Maine (EIN: 01-6000769) All entities listed above are 501(c)(3) public charities exempt under Section 170(b)(1)(A)(vi) of the Internal Revenue Code (the "Code").
