Explanation:

The Foundation respectfully requests abatement of penalties associated with the late filing of its Forms 990-PF for tax years 2023 based upon reasonable cause and not willful neglect under Internal Revenue Code provisions applicable to exempt organization filing penalties. During 2023 the Foundation was a dormant volunteer-operated private foundation with no paid employees no active charitable operations and minimal or no operating funds or assets. Beyond conference attendances at co-sponsored community events the organization had no fundraising activities employed staff or maintained no regular administrative operations. The Foundation experienced substantial administrative disruption resulting from the absence and turnover of individuals previously responsible for organizational capacity and compliance matters. Because the organization lacked funding and active personnel business records filing responsibilities were not consistently maintained or monitored in 2023.
