INDIVIDUALS MUST DISCLOSE ANY ACTUAL OR POTENTIAL CONFLICTS OF INTEREST, INCLUDING MATTERS THAT MAY BENEFIT THEMSELVES OR THEIR SPOUSE, AND MUST ABSTAIN FROM PARTICIPATING IN DISCUSSIONS OR VOTING ON SUCH MATTERS.
