  Reasonable Cause During the filing period, the Organization was in the process of evaluating and ultimately determining that it would dissolve. As a result of this transition, the Form 990-PF was inadvertently not filed. Since that time, the Organization has distributed its remaining assets and has been in the process of winding up its operations. In light of these circumstances, we respectfully request that no penalties be assessed, as the Organization's funds were fully distributed to qualified 501(c)(3) organizations in furtherance of its exempt purpose.
