Members or stockholder classes and rights Part VI line 6	All municipalities within Kane, Kendall, and DeKalb counties are eligible to become members of Metro West. Each member is represented on the board by its Mayor or President, and its administrator or manager, if they have one. The municipalities pay annual membership dues to become members of Metro West Council of Government.
Member election for additional members Part VI line 7a	The executive committee has authority to act on behalf of the full board if a situation arises in between meetings, which must be dealt with before the next meeting. The board votes on and elects the executive committee. The board consists of the Mayor/President and Manager/Administrator of each member municipality.
Governing body decisions Part VI line 7b	The board of directors shall have supervision, control and direction of the affairs on the council, shall determine its policies or changes within the limits of the bylaws, shall actively prosecute its purposes, and shall have direction in the disbursement of its funds.
Form 990 governing body review Part VI line 11	Before submission to the IRS, the 990 is reviewed by the board of directors.
Conflict of interest policy compliance Part VI line 12c	Annually, conflict of interest forms are distributed to all board members. After collecting the completed forms, we note which indicate a conflict of interest. The executive director reviews them. We maintain a file on these and review them if we are taking any action that could trigger a conflict of interest. If that occurs, the executive director will notify the affected board member and the board president and the affected board member will then be excluded from any votes on that issue.
