CORPORATION FOR PUBLIC BROADCASTING

Return Reference Explanation
FORM 990, PART III, LINE 1 CORPORATION FOR PUBLIC BROADCASTING ("CPB") WAS A PRIVATE, NONPROFIT CORPORATION AUTHORIZED BY CONGRESS IN THE PUBLIC BROADCASTING ACT OF 1967 ("THE ACT"). CPB WAS THE STEWARD OF THE FEDERAL GOVERNMENT'S INVESTMENT IN PUBLIC BROADCASTING AND THE LARGEST SINGLE SOURCE OF FUNDING FOR PUBLIC RADIO, TELEVISION AND RELATED ONLINE AND MOBILE SERVICES. CPB'S MISSION WAS TO ENSURE UNIVERSAL ACCESS TO NON-COMMERCIAL, HIGH-QUALITY CONTENT AND TELECOMMUNICATIONS SERVICES FOR THE AMERICAN PEOPLE. IT DID SO BY DISTRIBUTING OVER 70% OF ITS FUNDING DIRECTLY TO MORE THAN 1,500 LOCALLY OWNED PUBLIC RADIO AND TELEVISION STATIONS. REMAINING FUNDS SUPPORTED THE CREATION OF TELEVISION AND RADIO PROGRAMMING, TECHNOLOGY AND INFRASTRUCTURE AND OTHER INITIATIVES THAT ENHANCED THE PUBLIC BROADCASTING SYSTEM. CPB DID NOT PRODUCE PROGRAMMING AND DID NOT OWN, OPERATE OR CONTROL ANY PUBLIC BROADCASTING STATIONS. ADDITIONALLY, CPB, PBS AND NPR ARE INDEPENDENT OF EACH OTHER AND OF LOCAL PUBLIC TELEVISION AND RADIO STATIONS. CPB STRIVED TO SUPPORT DIVERSE PROGRAMS AND SERVICES THAT INFORMED, EDUCATED, ENLIGHTENED AND ENRICHED THE PUBLIC. THROUGH GRANTS, CPB ENCOURAGED THE DEVELOPMENT OF CONTENT THAT ADDRESSED THE NEEDS OF UNDERSERVED AUDIENCES. CPB ALSO FUNDED MULTIPLE DIGITAL PLATFORMS USED BY THOUSANDS OF MEDIA PRODUCERS AND PRODUCTION COMPANIES THROUGHOUT THE COUNTRY. CPB WAS PRIMARILY FUNDED BY THE FEDERAL GOVERNMENT. ALTHOUGH CONGRESS HAD PREVIOUSLY APPROPRIATED $535.0 MILLION ANNUALLY FOR BOTH FISCAL YEARS 2026 AND 2027 (PUBLIC LAWS 118-47 AND 119-4), THESE APPROPRIATIONS WERE RESCINDED IN JULY 2025 BY THE "RESCISSIONS ACT OF 2025" (PUBLIC LAW 119-28), ELIMINATING FUTURE APPROPRIATIONS FOR CPB.
FORM 990, PART III, LINE 3 AS A RESULT OF THE LOSS OF FUTURE FEDERAL APPROPRIATIONS, IN AUGUST 2025 CPB INITIATED THE PROCESS OF WINDING DOWN ITS OPERATIONS. CPB SIGNIFICANTLY REDUCED ITS WORKFORCE AT THE END OF FISCAL YEAR 2025. IN FISCAL YEAR 2026, CPB DISTRIBUTED REMAINING APPROPRIATED NET ASSETS WITHOUT DONOR RESTRICTIONS IN ACCORDANCE WITH THE ACT, RESOLVED ITS REMAINING FINANCIAL OBLIGATIONS AND OFFBOARDED REMAINING STAFF. CPB FILED ARTICLES OF DISSOLUTION WITH THE DISTRICT OF COLUMBIA EFFECTIVE FEBRUARY 28, 2026.
FORM 990, PART IV, LINE 12 AND PART XII, LINE 2: AUDITED FINANCIAL STATEMENTS HISTORICALLY, CPB'S COMBINED FINANCIAL STATEMENTS INCLUDED THE ACCOUNTS OF LITERARY CLASSICS, INC. ("LCI"), A RELATED DISTRICT OF COLUMBIA NOT-FOR-PROFIT CORPORATION THAT WAS ALSO EXEMPT FROM INCOME TAXES UNDER SECTION 501(C)(3) OF THE INTERNAL REVENUE CODE. SINCE BOTH ENTITIES DISSOLVED IN JANUARY OF 2026, NEITHER CPB NOR LCI NGAGED AN INDEPENDENT ACCOUNTANT TO AUDIT THEIR FINANCIAL STATEMENTS OR THE PARTIAL FISCAL YEAR 2026.
FORM 990, PART VI, SECTION A, LINE 4 ON DECEMBER 10, 2025. THE BOARD OF DIRECTORS AUTHORIZED THE DISSOLUTION OF THE CORPORATION FOR PUBLIC BROADCASTING EFFECTIVE FEBRUARY 28, 2026. THE DISSOLUTION WAS APPROVED IN THE MANNER REQUIRED BY THE ARTICLES OF INCORPORATION AND BYLAWS.
FORM 990, PART VI, SECTION A, LINE 7A AS DEFINED BY THE PUBLIC BROADCASTING ACT, THE BOARD OF DIRECTORS GOVERNS CPB, SETTING POLICY, AND ESTABLISHING FUNDING PRIORITIES. BOARD MEMBERS WERE NOMINATED BY THE PRESIDENT OF THE UNITED STATES AND CONFIRMED BY THE U.S. SENATE. A FULL BOARD TERM RAN FOR SIX YEARS, WITH THE PRESIDENT NOMINATING MEMBERS FOR VACANCIES.
FORM 990, PART VI, SECTION B, LINE 11B 990 REVIEW PROCESS: IN PRIOR YEARS, CPB'S FORM 990 WAS PREPARED BY THE OFFICE OF BUDGET AND FINANCE, REVIEWED BY THE CFO AND INDEPENDENT ACCOUNTANTS, AND SHARED WITH OFFICERS AND THE BOARD, WITH THE CFO PROVIDING A WRITTEN SUMMARY AND ANSWERING QUESTIONS. DUE TO CPB'S CORPORATE DISSOLUTION AND TERMINATION OF ALL EMPLOYEES, THIS FINAL FORM 990 WAS PREPARED BY A FORMER BUDGET AND FINANCE STAFF MEMBER ENGAGED AS AN INDEPENDENT CONTRACTOR, REVIEWED BY CPB'S INDEPENDENT ACCOUNTANTS, AND PROVIDED TO THE BOARD. THE BOARD CHAIR IS THE FORM'S SIGNATORY.
FORM 990, PART VI, SECTION B, LINE 12C CONFLICT OF INTEREST POLICY MONITORING & ENFORCEMENT CPB EMPLOYEES ARE REQUIRED TO DISCLOSE POSITIONS HELD AS A DIRECTOR ON ANY OUTSIDE BOARD, OR AS MANAGER OR EMPLOYEE (INCLUDING SELF-EMPLOYMENT) WITH ANY ENTITY OTHER THAN CPB. EMPLOYEES ARE ALSO REQUIRED TO DISCLOSE POTENTIAL CONFLICTS OF INTEREST REGARDING ENTITIES WITH WHOM CPB DOES OR MAY DO BUSINESS. AN UPDATED DISCLOSURE FORM MUST BE COMPLETED ANNUALLY OR WHEN INFORMATION CHANGES. CPB'S CODE OF ETHICS AND CONFLICTS OF INTEREST POLICY FOR DIRECTORS REQUIRES DIRECTORS TO IMMEDIATELY DISCLOSE CONFLICTS OF INTEREST REGARDING ANY TRANSACTION WITH WHICH THE BOARD IS INVOLVED WHEN THE DIRECTOR BECOMES AWARE OF THE TRANSACTION. FURTHER, EACH BOARD AND BOARD COMMITTEE MEETING INCLUDES AN OPPORTUNITY FOR THE DIRECTORS TO DISCLOSE ANY POTENTIAL CONFLICTS OF INTEREST THAT MAY ARISE IN THE COURSE OF THE MEETING'S AGENDA. FINALLY, EACH DIRECTOR IS REQUIRED TO CERTIFY HIS OR HER COMPLIANCE WITH THESE POLICIES.
FORM 990, PART VI, SECTION B, LINE 15 PROCESS FOR DETERMINING COMPENSATION THE COMPENSATION OF CPB'S OFFICERS WAS RECOMMENDED BY THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE OF CPB'S BOARD OF DIRECTORS AND APPROVED BY THE FULL BOARD OF DIRECTORS. MANAGEMENT WAS NOT REPRESENTED ON THE BOARD, MEMBERS OF WHICH WERE APPOINTED BY THE PRESIDENT OF THE UNITED STATES AND CONFIRMED BY THE U.S. SENATE. AN ANNUAL COMPENSATION ANALYSIS WAS PREPARED BY AN INDEPENDENT COMPENSATION CONSULTANT FOR ALL VICE PRESIDENT AND ABOVE POSITIONS. THE ANALYSIS COMPARED COMPENSATION FROM MULTIPLE INDEPENDENT COMPENSATION SURVEYS. FOR ALL NON-OFFICER POSITIONS, ANNUAL PERFORMANCE WAS EVALUATED AGAINST OBJECTIVES SET AT THE BEGINNING OF THE YEAR. PERFORMANCE WAS DOCUMENTED IN A WRITTEN REPORT AND THE CEO MADE COMPENSATION RECOMMENDATIONS TO THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE. THESE RECOMMENDATIONS WERE REVIEWED BY THE COMMITTEE WITH THE ASSISTANCE OF THE INDEPENDENT COMPENSATION CONSULTANT. THE EVALUATION OF THE CEO AND OFFICERS WAS LED BY THE CORPORATE GOVERNANCE & EXECUTIVE COMPENSATION COMMITTEE AND THE CHAIR THEREOF. A DETAILED REPORT OF THE OFFICERS' ACCOMPLISHMENTS WAS PROVIDED TO EACH MEMBER OF THE BOARD, AND FOR THE CEO, A PERFORMANCE QUESTIONNAIRE. INPUT FROM THE QUESTIONNAIRES WAS CONSOLIDATED BY THE CONSULTANT AND REPORTED BACK TO THE FULL BOARD. THE OFFICERS' EVALUATIONS WERE CONDUCTED BY THE BOARD IN EXECUTIVE SESSION. ALL PROCEEDINGS WERE DOCUMENTED IN THE FORM OF WRITTEN MINUTES AND COMPENSATION WAS INCLUDED AS A FORMAL RESOLUTION OF THE BOARD FOR EACH OF THESE POSITIONS. THIS PROCESS WAS FOLLOWED ANNUALLY. THE LAST SUCH MEETING WAS IN NOVEMBER 2025. COMPENSATION OF CPB'S INSPECTOR GENERAL WAS TIED TO THE INSPECTOR GENERAL REFORM ACT OF 2008 AND A MEMORANDUM OF UNDERSTANDING WITH CPB'S BOARD OF DIRECTORS. THE AUDIT AND FINANCE COMMITTEE OF CPB'S BOARD OF DIRECTORS CONDUCTED THE ANNUAL PERFORMANCE EVALUATION OF CPB'S INSPECTOR GENERAL.
FORM 990, PART VI, SECTION C, LINE 19 HOW DOCUMENTS ARE MADE AVAILABLE TO THE PUBLIC CPB MAINTAINED COPIES OF ITS GOVERNING DOCUMENTS, CODE OF ETHICS AND CONFLICTS OF INTEREST POLICY, FORM 990 AND AUDITED FINANCIAL STATEMENTS AT ITS OFFICES IN WASHINGTON, D.C. PRIOR TO CPB'S DISSOLUTION AND CLOSURE, THESE DOCUMENTS WERE AVAILABLE TO THE PUBLIC UPON WRITTEN REQUEST. THE AUDITED FINANCIAL STATEMENTS WERE ALSO AVAILABLE ON CPB'S WEBSITE, CPB.ORG BEFORE THE WEBSITE WAS DECOMMISSIONED.
FORM 990, PART VII: COMPENSATION OF DIRECTORS BOARD MEMBERS WERE COMPENSATED FOR THEIR SERVICE AT THE RATE OF $150/DAY AS PER THE PUBLIC BROADCASTING ACT. FORMS 1099 WERE ISSUED TO BOARD MEMBERS FOR THESE PAYMENTS IF THE TOTAL FEES PAID DURING THE YEAR MET THE IRS THRESHOLD FOR SUCH REPORTING. THE AMOUNTS IN THE PART VII AGREE TO THE FORMS 1099 FOR CALENDAR YEAR 2025, IF APPLICABLE.
FORM 990, PART XI, LINE 9: GRANT AND CONTRACT REFUNDS 898,051.
