BY UNANIMOUS VOTE of all of the members of the Board of Trustees of THE OTHER SIDE OF MOMMYHOOD, a New Jersey Non-Profit Corporation (hereinafter the Corporation), a non-profit corporation of the State of New Jersey, pursuant to Section 15A:6-7c of the New Jersey Nonprofit Corporation Act, do hereby consent to and authorize the actions set forth in the following resolutions, and do hereby declare that the said actions shall be and hereby are taken and approved by the Trustees:WHEREAS, the Board has deemed it appropriate and necessary to dissolve the Corporation.NOW, THEREFORE, be it RESOLVED that:the Corporation be dissolved in accordance with the applicable provisions of the laws of the State of New Jersey, and that the officers of the Corporation are authorized and directed to take all steps necessary to effectuate the dissolution, including the filing of appropriate documents with the Secretary of State and the Internal Revenue Service (if applicable).
