Instructional Services: Nova Southeastern University (NSU) offers undergraduate degrees, graduate and first professional degrees, and certificate programs to more than 20,000 full-time and part-time students in a wide range of academic programs. In addition to the main Fort Lauderdale/Davie and Oceanographic Campuses in South Florida, courses are taught at 9 regional campuses located across Florida, in Puerto Rico, and Colorado; and at limited sites in other states and foreign countries. The NSU University School offers innovative primary and secondary education to children from preschool through grade 12.(continued on Schedule O)NSU has 15 colleges and schools (fiscal 2025): Abraham S. Fischler College of Education and School of Criminal Justice; College of Dental Medicine; College of Computing and Engineering; College of Optometry; Barry and Judy Silverman College of Pharmacy; College of Psychology; Dr. Kiran C. Patel College of Allopathic Medicine; Dr. Kiran C. Patel College of Osteopathic Medicine; Dr. Pallavi Patel College of Health Care Sciences; Farquhar Honors College; H. Wayne Huizenga College of Business and Entrepreneurship; Halmos College of Arts and Sciences; Ron and Kathy Assaf College of Nursing; Shepard Broad College of Law; and the NSU University School. NSU has over 130 academic degree programs, with approximately 65 percent graduate and professional students and 35 percent undergraduate students. Courses are offered in multiple locations and modalities. As part of the university's strategic initiatives, it has continued to invest in high-demand and industry-relevant programs with growth potential, such as expansion within healthcare programs. NSU is the largest educator of physicians in Florida and 5th in the nation. With eight healthcare-related colleges offering a broad array of programs, NSU is the top producer of healthcare providers in the state and nationally, meeting critical needs in the industry. NSU is one of only three universities in the United States to offer both a D.O. and M.D. program. In fiscal 2025, NSU graduated 445 physicians (D.O. and M.D. graduates combined).NSU has leveraged and supported its strengths in graduate and professional education while growing its undergraduate population. For example, the university's distinctive Dual Admission Program provides highly motivated undergraduate students with the opportunity to reserve a seat in selective graduate/professional programs while earning their bachelor's degree. This unique program has continued to attract academically highly qualified students, supporting strategic goals for enhanced student quality, experience, and outcomes. Other examples include innovative accelerated tracks that provide a faster path to earning both a bachelor's and advanced degree.In April 2025, NSU earned a Carnegie Classification as an Opportunity College and University, a first-time designation that recognizes institutions that foster student success by examining whether they enroll students who reflect their communities and whether graduates go on to earn competitive wages compared to peers in their area. Only 16 percent of U.S. colleges and universities received this designation.

Academic Support: This comprises functions that directly support the university's primary service mission of instruction, such as the university's library system and art museum. The university libraries include the Martin and Gail Press Health Professions Division Library; the Panza Maurer Law Library; the Oceanographic Campus Library; the NSU University School Media Center; and the Alvin Sherman Library, Research and Information Technology Center. Buildings within the university library system offer wireless access and a variety of study spaces, including group and individual study rooms, collaborative workspaces, individual study carrels, and designated quiet study spaces. At 325,000 square feet, (continued on Schedule O)the Alvin Sherman Library is among the largest library buildings in the Southeastern United States. It also hosts the Write from the Start Writing and Communication Center, Farquhar Honors College, and the Alan B. Levan | NSU Broward Center of Innovation.

Auxiliary Enterprises: Nova Southeastern University's NSU Health is a patient centric, integrated health care network built on a foundation of education, research, and the highest quality patient care.NSU Health has many outpatient facilities and provides care in medical, dental, optometry, pharmacy, and mental health services, including family therapy. There are also specialty services available, such as audiology, occupational therapy, physical therapy, and speech language pathology. In addition to the health care facilities on the Fort Lauderdale/Davie Campus, NSU Health provides services to the surrounding community. (continued on Schedule O)The Don Taft University Center is a more than 325,000-square-foot facility featuring three NCAA competition courts, group fitness and instruction rooms, cardio and weight training areas, squash courts, a rock climbing wall, and the Flight Deck Pub. The Performing and Visual Arts Wing of the Don Taft University Center includes state-of-the-art classrooms and facilities that support the art, dance, music, and theatre majors of the Department of Communication, Media, and the Arts (DCMA) at the Halmos College of Arts and Sciences.In March 2025, NSU celebrated the opening of the NSU Health Cathy J. Husman ALS Center, providing specialty care for patients diagnosed with ALS, located within NSU's Center for Collaborative Research.Fiscal 2025 also included the renewal and expansion of the university's chiller plants and associated infrastructure; improvements to fields and other athletic amenities; dining facility expansion; residence hall remodel; and renovations of certain administrative, clinical, and regional campus facilities.

More than 250 research projects are currently under way at NSU,including studies on cardiovascular disease, anticancer therapies,chronic fatigue syndrome, autism, coral reef restoration, stem cells,and wildlife DNA forensics, among other subjects. The Center forCollaborative Research (CCR) consists of 215,000 square feet ofresearch and collaborative spaces. This project is registered with theU.S. Green Building Council (USGBC) and is the first NSU facility toachieve a LEED certification level of Gold. The facility houses corefacilities including Genomics, Flow Cytometry, Cell Therapy andImaging. The CCR brings multiple disciplines together, with studentsand NSU faculty members partnering with professionals and organizationsoutside of the NSU community-furthering cutting-edge research anddeveloping technologies that will benefit the global community. In 2025, NSU was recognized by the Carnegie Classificationsystem as one of only 21 universities nationwide to hold allthree of the following designations: Very High Research Activity(R1), Community Engaged Institution, and Opportunity College& University (OCU). Its R1 classification places NSU among thetop tier of U.S. research universities, a milestone that reflectsits continued growth and commitment to research that leads toreal-world impact. As an R1 institution, NSU is shining a newlight on scientific discovery, medical breakthroughs, andtechnologies that advance quality of life: from pioneeringtreatments in neuro-immunology and cancer, to safeguardingcoral reefs and strengthening cybersecurity.

Part III, Line 1a: The NSU Art Museum Fort Lauderdale acquires art for its collection through purchase or gift. As permitted by SFAS 116 (ASC 958), accounting for contributions received and contributions made, the Museum does not include its collection items as assets in the consolidated statement of financial position. Accordingly, no value has been assigned to the Museum's art collection. The University's policy requires any proceeds from sales of collection items to be used to acquire other items for the collection or for the direct care of its collection (expenditures that enhance the life, usefulness, or quality of an object, and improve the physical impact and condition of an item). Proceeds from the sale of collection items and expenditures for collection items purchased are reflected in the consolidated statement of activities within other revenues and expenses, respectively.
Part III, Line 4: The Museum's art collections are held for public exhibition, education, and scholarly use in furtherance of the University's exempt educational purpose. The Museum provides continuing opportunities for appreciation of the arts by the general public and educational opportunities for NSU employees and students through innovative exhibitions, educational programs, publications, and collection based activities. The Museum building encompasses 83,000 square feet on three levels, including approximately 25,000 square feet of exhibition space used for the display of the collections. Part X, Line 2: Accounting for Uncertainty in Income Taxes: The University follows the guidance contained in ASC 740, Income Taxes. ASC 740 addresses the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribes a threshold of more-likely-than-not for recognition and de-recognition of tax positions taken or expected to be taken in a tax return. There were no uncertain tax positions recorded in the consolidated financial statements for fiscal years 2025 or 2024.

Part I, Line 2: NSU Office of Sponsored Programs maintains a written, formal policy that outlines the procedures and guidelines for monitoring the use of sponsored funds by subrecipients. Prior to entering into a subaward agreement, NSU will assess subrecipient risk based on factors such as financial stability, experience with federal awards, quality of management systems and internal controls, and prior audit results. NSU will determine what type of monitoring activities are warranted based on risk, and develop a subrecipient monitoring plan. NSU will subsequently enter into a subaward agreement with each subrecipient which properly identifies prime award information, compliance requirements, and subrecipient monitoring documents required, as applicable. Throughout the period of performance, the Principal Investigator for the project monitors the programmatic activities of the subrecipient; determining that appropriate progress has been made; receiving, reviewing and retaining copies of required programmatic reports; and reviewing/approving subrecipient invoices prior to submitting to the NSU Office of Sponsored Programs for approval and processing. As part of the initial risk assessment and throughout the period of performance of the subaward, NSU will collaboratively review any deficiencies pertaining to the sponsored award that are identified through audits or other means, and issue a management decision.

Part I, Line 2: NSU Office of Sponsored Programs maintains a written, formal policy that outlines the procedures and guidelines for monitoring the use of sponsored funds by subrecipients. Prior to entering into a subaward agreement, NSU will assess subrecipient risk based on factors such as financial stability, experience with federal awards, quality of management systems and internal controls, and prior audit results. NSU will determine what type of monitoring activities are warranted based on risk, and develop a subrecipient monitoring plan. NSU will subsequently enter into a subaward agreement with each subrecipient which properly identifies prime award information, compliance requirements, and subrecipient monitoring documents required, as applicable. Throughout the period of performance, the Principal Investigator for the project monitors the programmatic activities of the subrecipient; determining that appropriate progress has been made; receiving, reviewing and retaining copies of required programmatic reports; and reviewing/approving subrecipient invoices prior to submitting to the NSU Office of Sponsored Programs for approval and processing. As part of the initial risk assessment and throughout the period of performance of the subaward, NSU will collaboratively review any deficiencies pertaining to the sponsored award that are identified through audits or other means, and issue a management decision. Schedule I, Part I, Line 2: Institutional grants awarded to students are recorded to individual student accounts and to each college departmental account using specific contra revenue account codes. The number of recipients and amount of awards varies by center and program. Funds set aside for scholarships are budgeted annually and included in the University's budget plan approved by the Board of Trustees.

Part I, Line 1a Supplemental Compensation Information: First class travel - Per the travel policy of Nova Southeastern University, Inc., all travel must be by the most direct or economical route. Higher fares may be reimbursable only when coach accommodations would: (1) require circuitous routing; (2) require travel during unreasonable hours; (3) greatly increase the duration of the flight; (4) result in additional costs which would offset the transportation savings; (5) offer accommodations which are not reasonably adequate for the medical needs of the traveler. These exceptions will require the traveler to submit a letter of approval signed by their Dean or Vice President. The NSU President/CEO is authorized to travel at a First Class fare (or business class if it is not available), while taking care to use available coupons, rewards or certificates when feasible. Charter travel is occasionally used for bona fide business purposes as deemed necessary due to scheduling constraints, geographic considerations, and mission related efficiency. Travel for companions - Per the travel policy of Nova Southeastern University, Inc., should a companion accompany the employee during a travel period, NSU will pay for only the normal single travel or meal costs associated with the NSU employee. NSU will not reimburse expenses associated with companion travel or meals. Any reimbursement authorized as an exception is subject to IRS guidelines and is considered taxable wages or income to the employee. Charter travel provided to companions is treated as taxable income to the NSU employee. Gross-up payments - Tax gross-up payments may occasionally be provided to university employees and in those instances are included in taxable compensation. Housing allowance - A housing allowance is included in President/CEO George L Hanbury's taxable compensation and reported in Schedule J, Part II, Column B(iii). Social club dues - The University provides certain executives with a club membership cash allowance, which is treated as taxable to the employee and included in his or her compensation.
Part I, Line 4b President/CEO George L. Hanbury's employment agreement includes a deferred compensation arrangement. The estimated deferred amount attributable to one service year is reported in Schedule J, Part II, Column(C).
Part I, Line 5 Steven Kaltman received an incentive bonus payment that was calculated as a percentage of net collections from dental clinic activity. Amounts paid are shown in Schedule J, Part II, Column(BII).

Form 990, Part VI, Section A, line 1a Explain delegation of authority to an executive committee by the governing body: In accordance to Nova Southeastern University bylaws, the Executive Committee, established by the Board of Trustees (BOT), consists of the Chair of the Board of Trustees who shall serve as Chair of the Executive Committee, the Vice Chair of the Board of Trustees, the President, the chairs of the standing committees of the Board, and no more than two (2) other members of the Board as designated by the Board Chair. The Executive Committee has the power to transact all business delegated to it by the BOT and shall, during periods between meetings of the BOT and for all matters of an urgent nature for which it is impractical or impossible to delay decisions until the next meeting of the BOT, have the power to transact all business of the BOT in the management of the Corporation, subject to any limitations otherwise imposed on the BOT as a whole. The Executive Committee shall have such additional powers as conferred upon it by the BOT, and shall report in writing to the BOT following each meeting.

Form 990, Part VI, Section B, line 11b Describe the process used by the organization to review this Form 990: The Form 990 is prepared by the Nova Southeastern University Tax Department and reviewed by the Controller, then presented to the University's outside tax accountants (KPMG, LLP) for review. After review by the outside tax accountants, a draft copy of the Form 990 and all required schedules are provided for review to the Executive Vice President of Finance/Chief Financial Officer and the President/Chief Executive Officer of the University. Upon completion of the internal review, the final form 990 and all required schedules are initially provided to the Executive Committee of the Board of Trustees and subsequently made available to the full Board of Trustees prior to filing.
Form 990, Part VI, Section B, line 12c Describe how the organization monitors and enforces compliance with its conflict of interest policy: Nova Southeastern University (NSU) has a written Conflict of Interest/Conflict of Commitment Policy which applies to all NSU employees. Anyone with knowledge of a conflict or potential conflict is required to immediately advise their Dean/Vice President or the Office of Human Resources. All full-time and part-time faculty members and staff members at the Director level and above are required to complete NSU's Conflict of Interest/Conflict of Commitment Declaration & Disclosure Statement, upon hire and then annually, identifying any actual or potential conflicts. If a potential or perceived conflict of interest/conflict of commitment is identified, the Dean/Vice President is responsible for developing and monitoring a Management plan to address and/or eliminate the conflict/conflict of commitment. Under the Conflict of Interest Policy affecting Trustees in the Audit and Compliance Committee Charter, Trustees have a duty at all times to promptly disclose in writing to the NSU President any current, proposed or pending situation that does or may constitute a Conflict of Interest. Additionally, the Policy requires that on an annual basis all Trustees must complete and sign a Disclosure/Conflicts of Interest Questionnaire. The policy states how conflicts are managed, reduced or eliminated and with respect to any Conflicts of Interest before the Audit and Compliance Committee or NSU's Board of Trustees, in no event may the trustee with the Conflict of Interest (1) be present, participate in the deliberations, or vote, or (ii) attempt to improperly influence the deliberations or the vote. The Trustee's Conflict of interest and recusal are noted in the minutes to any such meeting.
Form 990, Part VI, Section B, line 15 Process for determining compensation of Officers and Key positions: A comparative analysis for the position of President/CEO is performed by the Vice President of Human Resources and provided to the compensation committee of the Board of Trustees whose members are appointed by the Board Chair. The analysis is reported to the Executive Committee, who informs the Board of Trustees. Compensation analysis and recommendations for other university officers and key positions are prepared by the Office of Human Resources and reviewed by the university's senior executives.
