Part I, Line 3 Part I, Question 3: Annual external wage surveys are obtained from various external sources and related comparability data is compiled by the cooperative's Human Resources Department. This information is used by the Board of Director's Executive Committee to determine the recommended compensation for the President. The full Board of Directors approves the President's compensation, and a written contract is executed.
Part I, Line 4 Part II, Additional Information: Amounts in Column B, Part iii, Other Reportable Compensation, includes taxable benefits such as taxable life insurance benefits and taxable transportation fringe benefits. Regarding Column C, Retirement and other deferred compensation, these amounts include 401k retirement plan contributions as well as the increase in actuarial value of their defined benefit pension plan as determined by plan actuaries. Amounts in Column D, Nontaxable Benefits include non-taxable benefits such as company paid medical and dental insurance premiums.

Form 990, Part VI, Section A, line 6 The corporation is wholly member-owned by the individuals whom the electrical cooperative provides service to. Upon establishing electric service, each individual also joins the cooperative as a member.
Form 990, Part VI, Section A, line 7a All cooperative members have one vote each to elect the Board of Directors. Elections are held annually. Board members serve five-year terms. The terms are staggered so that two of the ten board members are up for election each year.
Form 990, Part VI, Section B, line 11b Form 990 is completed and filed by the cooperative's independent external accounting firm. Information to complete the return is compiled by the cooperative's internal accounting staff, and supplied to the external accounting firm. A draft Form 990 return is sent to cooperative management and the Board of Directors for their review. The Form 990 is discussed and approved by the Board of Directors at their monthly board meeting, prior to filing.
Form 990, Part VI, Section B, line 15 Annual external wage surveys are obtained, and related comparability data is compiled by the company's Human Resource Department. This information is used by the Board of Directors to determine the President's compensation. The information is also used by the President to determine the company's wage and salary plan that is adopted by the Board.
